License Agreement

Overview

This End User License Agreement ("Agreement" or "EULA") is a legally binding contract between you — the individual or legal entity ("Licensee," "you," or "your") — and ArrowTwist ("ArrowTwist," "we," "us," or "our"), the owner and developer of the Software made available through https://arrowtwist.com.

By purchasing, downloading, installing, copying, or otherwise using any ArrowTwist Software product, you confirm that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not purchase, install, or use the Software.

1. Definitions

"Software" refers to any Magento 2 extension, Shopify app, plugin, module, or digital product developed and sold by ArrowTwist, including all associated files, documentation, and updates.
"License" means the right to use the Software granted under the terms of this Agreement.
"Live Installation" means any publicly accessible, production-level deployment of the Software on a live store or website.
"Development/Staging Installation" means any non-public environment used for development, testing, or quality assurance purposes only.
"License Fee" means the one-time payment made by the Licensee to obtain a License to use the Software.
"Renewal Fee" means the optional annual fee paid to maintain access to Software updates and support services beyond the initial 365-day period.

2. License Grant

2.1. Subject to the terms and conditions of this Agreement, ArrowTwist grants you a non-exclusive, non-transferable, worldwide License to install and use one (1) copy of the Software on one (1) Live Installation — whether on a Magento 2 store or a Shopify store — solely for your personal or business purposes.

2.2. A separate License must be purchased for each additional Live Installation. You may, however, use the Software on an unlimited number of development, staging, or testing environments at no additional cost, provided such environments are not publicly accessible or commercially active.

2.3. This Agreement comes into effect at the moment you complete your purchase of the Software on arrowtwist.com or receive it through any other official channel provided by ArrowTwist.

2.4. The License granted herein is for your use only. You may not share, transfer, or assign the License to any third party without prior written consent from ArrowTwist.

3. Intellectual Property Rights

3.1. ArrowTwist is and remains the sole copyright holder and owner of the Software, including all copies, modifications, enhancements, and derivative works thereof. Nothing in this Agreement transfers any ownership rights in the Software to the Licensee.

3.2. The Software is protected by applicable intellectual property laws, including copyright, trade secret, and international treaty provisions. Unauthorized use, reproduction, or distribution of the Software, or any portion of it, may result in severe civil and criminal penalties.

3.3. By using the Software, you acknowledge that all intellectual property rights in the Software belong exclusively to ArrowTwist, and you agree not to take any action that infringes or challenges those rights.

3.4. ArrowTwist reserves all rights in and to the Software not expressly granted to you under this Agreement.

4. Restrictions

You agree that you will not, under any circumstances:

4.1. Reproduce, duplicate, copy, or redistribute the Software or any part thereof without the express written consent of ArrowTwist.

4.2. Sell, resell, sublicense, rent, lease, lend, transfer, or otherwise make the Software available to any third party.

4.3. Use any part of the Software's code — in whole or in part — in any other software product, application, theme, or website not owned by you, or for the benefit of a third party.

4.4. Make the Software publicly available on any server, network, or distribution platform (including GitHub, Packagist, or similar) without express written authorization from ArrowTwist.

4.5. Remove, alter, or obscure any copyright notices, trademarks, proprietary markings, or branding contained in or displayed by the Software.

4.6. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software in any manner not expressly permitted by applicable law.

4.7. Use the Software in a manner that violates any applicable local, national, or international laws or regulations.

5. Fees and Pricing

5.1. One-Time License Fee When you purchase Software from ArrowTwist, you pay a one-time License Fee. This fee grants you:

A License to use the Software on one (1) Live Installation as described in Section 2.
Lifetime access to the version of the Software's source code available at the time of purchase.
365 days of access to Software updates and new releases from the date of purchase.
365 days of access to ArrowTwist's support services from the date of purchase.

5.2. Annual Renewal Fee Following the initial 365-day period, Licensees may optionally pay an Annual Renewal Fee equal to 50% of the current Software price to continue receiving:

Access to all new Software updates and releases for an additional 365 days.
Access to ArrowTwist's support services for an additional 365 days.
The right to transfer the License to a new domain during the active renewal period.

5.3. The Renewal Fee is non-refundable. If you choose not to renew, you may continue using the last version of the Software you downloaded, but you will not receive further updates or support.

5.4. ArrowTwist reserves the right to change its pricing at any time. Any changes will not affect Licenses already purchased.

6. Software Updates

6.1. ArrowTwist offers access to the latest versions of our Software for Licensees with an active update subscription (within the initial 365-day period or a valid Renewal period).

6.2. Updates are available for the platform version specified at the time of purchase (e.g., Magento 2.x or a specific Shopify version). ArrowTwist does not guarantee backward compatibility across major platform versions.

6.3. It is the Licensee's responsibility to download and install updates. ArrowTwist does not guarantee that updates will be released for every product or version.

6.4. If your update access has expired, ArrowTwist cannot provide support for issues that arise during or after updating to a new version.

7. Support Services

7.1. ArrowTwist provides support services to Licensees with an active support subscription (within the initial 365-day period or a valid Renewal period).

7.2. Support covers bugs and issues directly caused by or related to ArrowTwist's Software. To qualify, the reported issue must be reproducible on a clean installation of Magento 2 or Shopify without interference from third-party plugins, themes, or custom code.

7.3. ArrowTwist does not provide custom development, store-specific troubleshooting, or support for issues caused by third-party conflicts, improper use, or platform changes outside ArrowTwist's control. We reserve the right to decline support requests that fall outside these parameters.

7.4. ArrowTwist will not be liable to you for any damages — including loss of profits, loss of data, or consequential or incidental damages — arising from or relating to the use of our support services.

8. Refund Policy

8.1. You may request a full refund within 30 days of your purchase date if you are unsatisfied with the Software for any reason.

8.2. To receive a refund, you must: (a) submit a refund request to ArrowTwist via our official support channel within the 30-day window; and (b) confirm in writing that you have removed and deleted all copies of the Software from your stores, servers, development environments, and any other location where it was installed.

8.3. Refund requests received more than 30 days after the purchase date will not be accepted.

8.4. The following are non-refundable under all circumstances:

Annual Renewal Fees
Installation service fees
Custom development or configuration service fees
Any other service fees once the service has been delivered

8.5. Approved refunds will be processed within 3 business days of confirmation.

9. License Validation

9.1. The Software may automatically connect to ArrowTwist's license validation servers to verify that a valid License is in use. This process may also be used to deliver important product notifications to your Magento Admin or Shopify Admin panel.

9.2. By using the Software, you consent to these automated license checks. If you wish to disable product notifications, please contact ArrowTwist support.

10. Platform Compatibility

10.1. Each Software product is designed and tested for a specific platform (Magento 2 or Shopify) and version. You may only use the Software with the platform and edition specified at the time of purchase.

10.2. ArrowTwist does not provide support or guarantee functionality for use of the Software with any platform version, edition, or configuration other than those specified.

11. Disclaimer of Warranties

11.1. THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARROWTWIST EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2. ArrowTwist does not warrant that the Software will be error-free, uninterrupted, or free from security vulnerabilities, nor that it will meet your specific requirements.

12. Limitation of Liability

12.1. TO THE FULLEST EXTENT PERMITTED BY LAW, ARROWTWIST SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ARROWTWIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2. IN NO EVENT SHALL ARROWTWIST'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS EXCEED THE AMOUNT YOU ACTUALLY PAID TO ARROWTWIST FOR THE SPECIFIC SOFTWARE LICENSE GIVING RISE TO THE CLAIM.

13. Termination

13.1. This Agreement is effective from the date of purchase and remains in effect until terminated.

13.2. ArrowTwist reserves the right to terminate your License immediately, without notice, if you breach any term of this Agreement. Grounds for termination include but are not limited to: unauthorized redistribution, removal of copyright notices, use on unlicensed installations, or any other violation of the terms herein.

13.3. Upon termination, you must immediately cease all use of the Software and permanently delete all copies from your stores, servers, computers, and any storage media.

13.4. Termination of this Agreement does not entitle you to a refund of any fees paid, unless the termination occurs within the 30-day refund window and meets the conditions described in Section 8.

13.5. If you continue to use the Software after your License has been terminated, you consent to any legal action ArrowTwist may take to enforce this Agreement, including seeking injunctive relief and recovery of legal costs and damages.

14. Modifications to This Agreement

14.1. ArrowTwist reserves the right to update or modify this EULA at any time. The updated version will be posted at https://arrowtwist.com with a revised "Last Updated" date.

14.2. Your continued use of the Software following the posting of any changes constitutes your acceptance of the revised Agreement.

15. Assignment

15.1. ArrowTwist may assign, transfer, or sub-contract any of its rights or obligations under this Agreement without notice to you.

15.2. You may not assign, transfer, or otherwise deal with your rights or obligations under this Agreement without the prior written consent of ArrowTwist.

16. Severability

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable. All other provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement constitutes the entire agreement between you and ArrowTwist with respect to the Software and supersedes all prior or contemporaneous understandings, communications, and agreements — whether written or oral — relating to the subject matter herein.
